DEATH & TAXES, INC. OFFICIALLY LAUNCHED
The official date of incorporation is January 3rd, the first business day of 2006. 
The corporation is a subchapter S.


January 12, 2006
MEETING WITH RICHARD LEE AND ALAN SPORE
Our board president, Alan Spore, a derivatives trader as well as an artist, joined us for a follow-up meeting with Richard Lee.  At this meeting, we reviewed our corporate structure and discussed issues involving liability and the possible perception of tax fraud.
Mr. Lee delivered a draft of the corporate bylaws and a kit containing our share certificates and a corporate seal.

DEATH AND TAXES, INC. RECEIVES TAX PAYER ID
Richard Lee sent confirmation that we had received our taxpayer identification number.

January 27, 2006
OPENED CORPORATE BANK ACCOUNT WITH $1,800
We opened our corporate bank account at Community Bank of the Bay, an independent bank in Oakland, CA.

COMPANY FACES AN EXPENSIVE UNANTICIPATED EQUIPMENT PURCHASE
Isabel’s computer died.  In order to continue teaching (Isabel’s main source of revenue) we needed to buy a new computer.
We solicited help from the board on how best to conduct this purchase, as it was outside our projected expenses.

FINALIZED CORPORATE DOCUMENTS
We signed and returned the articles of incorporation to Richard Lee.  We also signed our employment contracts outlining our responsibilities as CEO and CFO of the corporation.
Richard also referred us to his friend, a CPA named Thomas Andres.

February 5, 2006
MAJOR PURCHASE COMPLETED
With advice from the board, Isabel purchased a like-new computer from a business in concord that was liquidating assets to avoid bankruptcy.  The computer cost $1,000.

COMMITTEE AND BOARD MEMBER RESPONSIBILITIES WERE DRAFTED
With the assistance of Alan Spore we drafted responsibilities for the board, with specific duties for each officer position and a proposal for several sub-committees designed to make operations run more smoothly.

CORPORATION TRIMS EXPENSES –COFFEE FIRST
We sent our second press release, announcing a discount purchase of a case of Savarin coffee.  The discount was offered to us by a distribution firm in Texas called Mother Parkers’ Tea and Coffee.

MEETING WITH ACCOUNTANT THOMAS ANDRES AND PRESIDENTALLAN SPORE
Alan joined us for an initial meeting with an accountant and friend of our attorney, Thomas Andres. 
With their help we devised a means of structuring the flow of money through the company without violating any tax laws.
Afterward we held an executive lunch at Anitas’ Mexican Restaurant in Oakland, CA.

A PARKING TICKET AND A BROKEN WINDOW
Sean forgets to move his car on street cleaning day and gets a $45 parking ticket.  He throws his newspaper on the porch before moving his car, but misses and breaks the front window -- adding a $100 repair job to the $45 ticket.

BOARD MEMBER STEPHAN JOST ACCEPTS NEW POSITION AND INVESTS IN THE FUTURE
At a party for board member Stephan Jost, our daughter Lucy lost her first baby tooth.  Stephan was celebrating his acceptance of a higher profile position in Vermont, and his moving away from the San Francisco Bay Area.
Stephan agreed to finance Lucy’s tooth fairy money with $24, on the condition that it be recorded as income to the corporation.

LECTURE AT CCA
Death & Taxes, Inc. accepts its first lecture assignment to a graduate class at the California College of the Arts.  The lecture earns the company $100.

BUSINESS MEETING AT KABUKI WITH BOARD MEMBER BETH LISICK
Isabel and Beth Lisick spent an afternoon at the Kabuki bath house in San Francisco and discussed ways to trim routine expenses.

DEATH AND TAXES PURCHASES A PUNCH CLOCK
After several back-and-forth negotiations with Apollo Time Clocks, we settled on purchasing a time clock on ebay for the same price Apollo offered for a lease.  With this device we are tracking the time we spend living by punching out and then back in before and after work.

DISCUSSION WITH RAYMOND MILES
We contacted a business professor at the Haas School of Business at the University of California, Berkeley.  Raymond Miles, a former dean of the school and a professor emeritus spent close to an hour on the phone with us giving us advice on how to market the project to a business audience and possibly raise additional funds for the project’s completion.
